(1560)中砂-本公司與宋健民間「Joint Venture Agreement」已於102年 10月28日屆期終止補充說明

1.事實發生日:103/01/27
2.契約或承諾相對人:宋健民
3.與公司關係:宋健民曾為本公司技術顧問
4.契約或承諾起迄日期（或解除日期）:85/10/28-102/10/28。
5.主要內容（解除者不適用）:本公司與宋健民於85年10月28日簽署「Joint Venture Agreement」（其後有陸續修訂、增補，以下合稱「本合作案」），委任宋健民研發製造鑽石工具之相關技術，並支付宋健民薪資及權利金，依據「JV增補條款」第
3條第2項前段：「…甲方擁有該等智慧財產權三分之二之權利利益及價值」，本合作案產生之專利權以宋健民為登記名義人，本公司主張享有實施權及三分之二所有權等權利，合約期間為17年。
6.限制條款（解除者不適用）:雙方須依本合作案合約進行權利、義務之清算，部分權利金之支付期限至102年12月31日止。
7.對公司財務、業務之影響（解除者不適用）:對本公司財務及業務並無重大影響。
8.具體目的（解除者不適用）:合約屆期終止。
9.其他應敘明事項:本公司與宋健民之相關訴訟，近日之重大發展如后：本公司向智慧財產法院聲請2件假處分，禁止宋健民擅自處分或變更14件本合作案專利及5件非屬本合作案之專利，其中後者於一審已經獲准並執行（102年度民全字第13號），前者亦獲智慧財產法院抗告審於102年12月18日裁准，本公司已於102年12月26日執行完畢（102年民專抗字第15號）。
